DBV Technologies S.A. is prohibited under the laws of the Republic of France from complying with the quorum requirements for shareholders’ meetings required by The Nasdaq Stock Market, LLC, the exchange on which DBV’s American Depositary Shares are listed.  As of April 20, 2021, DBV relies on the exemption set forth in Nasdaq Listing Rule 5620(c)(ii).
